Job Description: We are currently seeking a Senior Legal Counsel to specialize in providing legal support to the Bank’s Global Credit Markets and Commercial, Corporate, and Institutional Banking businesses in Africa and the Middle East (AME). The role involves being a legal product specialist and supporting various aspects of these businesses, including Mergers and Acquisitions Advisory, Project and Export Finance, Leveraged Acquisition Finance, Financing Solutions, and Commercial Real Estate.

Key Responsibilities:

Job Role:

  • Act as a legal product specialist for the Bank’s Global Credit Markets and Commercial, Corporate, and Institutional Banking businesses in AME.
  • Provide legal support in areas such as Mergers and Acquisitions Advisory, Project and Export Finance, Leveraged Acquisition Finance, Financing Solutions, and Commercial Real Estate.

  • Understand and align with the Group’s business strategy and model relevant to the role.

People and Talent:

  • Lead by example, fostering the appropriate culture and values within the team.
  • Collaborate with risk and control partners, setting tone and expectations for the team.

Risk Management:

  • Identify, manage, and mitigate risks associated with transactional matters.

Regulatory and Business Conduct:

  • Uphold exemplary conduct, adhering to the highest standards of ethics, regulatory and business conduct.
  • Ensure compliance with applicable laws, regulations, guidelines, and the Group Code of Conduct.

Key Stakeholders:

  • Global Credit Markets and Commercial, Corporate, and Institutional Banking, Africa and Middle East.

Other Responsibilities:

  • Embed the Group’s brand and values in Kenya and the Legal function.

Requirements:

Qualifications:

  • Law school or equivalent qualification.

Experience:

  • Minimum of 5 years’ experience in a law firm or in-house legal role.

Licenses:

  • License to practice Law in the relevant jurisdiction.

Language:

  • Proficiency in English.

Role Specific Technical Competencies:

  • Provide legal advice on transactional matters for the Bank’s Global Credit Markets and Commercial, Corporate, and Institutional Banking businesses in AME.
  • Negotiate, draft, and manage legal documentation as required to support these businesses.
  • Ensure appropriate legal documents are used, containing adequate protections and remedies.
  • Ensure transactions with third parties are valid and enforceable under relevant laws.
  • Advise on the structuring of customized finance transactions, Bank policies, procedures, and corporate governance.
  • Provide legal advice on bespoke projects.
