Job Purpose:

Reporting administratively to the Managing Director and functionally to the Board of Directors, the Company Secretary and General Manager Legal Services will provide legal advisory services to the management and enterprise secretarial services to the Board. This role encompasses legal advice, litigation management, regulatory compliance, contract preparation, property and insurance management, and overall corporate governance practices.

Key Responsibilities:

In addition to the above, the Company Secretary and General Manager, Legal Services, will:

  • Ensure compliance with constitutional, regulatory, and relevant laws through legal advisory services.
  • Provide guidance to the Board on their duties and responsibilities regarding Governance.
  • Offer enterprise secretarial services to the Board, including coordinating board meetings, preparing board papers, documenting minutes, and ensuring the safe custody of records.
  • Act as the primary counsel to the Board of Management, providing legal advice on all aspects of the enterprise’s business.
  • Coordinate litigation management and external lawyer appointments.
  • Oversee the preparation, review, and execution of contracts and legal agreements.
  • Safeguard the Enterprise Seal, legal instruments, documents, title documents, intellectual property records, and all other Corporation’s properties/assets.
  • Participate in policy, procedure, and guideline development and ensure compliance.
  • Efficiently manage contractual risks.
  • Draft and review leases, contracts, licensing frameworks, service level agreements, memoranda of understanding, and other legal documents.
  • Liaise with the Attorney General, law enforcement agencies, and other stakeholders on legal matters.
  • Conduct legal due diligence on prospective lessees, licensees, partners, and third parties.
  • Establish and manage the intellectual property register and facilitate legal compliance audits.
  • Advise the Enterprise on alternative dispute resolution measures.

Person Specifications:

The successful candidate must have the following minimum qualifications:

  • Master’s degree in Law from a recognized institution.
  • Bachelor’s degree in Law from a recognized institution.
  • Postgraduate Diploma in Law from the Kenya School of Law.
  • Member of the Law Society of Kenya (LSK).
  • Advocate of the High Court of Kenya with a valid Practicing Certificate.
  • Registered Certified Public Secretary (CPS-K).
  • Member of the Institute of Certified Public Secretaries of Kenya (ICPSK).
  • Certificate in a leadership course lasting not less than four (4) weeks from a recognized institution.
  • Certificate in Corporate Governance from a recognized institution.
  • Minimum of fifteen (15) years of relevant work experience, with at least five (5) years in Senior Management in a comparable public or private sector institution.

Integrity Compliance Requirements:

Successful candidates must comply with Chapter Six of the Constitution of Kenya, 2010, presenting valid clearance certificates or proof of initiation of certification for:

  • Certificate of good conduct from the Directorate of Criminal Investigations (DCI).
  • Certificate from Higher Education Loans Board (HELB).
  • Tax compliance certificate from Kenya Revenue Authority (KRA).
  • Clearance from the Ethics and Anti-Corruption Commission (EACC).
  • Report from the approved Credit Reference Bureau (CRB).

Terms of Service:

Appointment to this position will be a contract term of five (5) years renewable based on performance.
